NON-DISCLOSURE AGREEMENT (MUTUAL)

This Non-Disclosure Agreement ("Agreement") is entered into as of [DATE] between:

1. CONFIDENTIAL INFORMATION
Confidential Information includes all proprietary technical, business, financial, and operational information disclosed by either party for the purpose of [DESCRIBE PURPOSE, e.g. evaluating strategic partnership].

2. OBLIGATIONS OF RECEIVING PARTY
The receiving party agrees:
(a) To hold the Disclosing Party's Confidential Information in strict confidence;
(b) Not to disclose information to any third party without prior written authorization;
(c) To restrict disclosure exclusively to employees with a direct need to know.

3. EXCLUSIONS FROM CONFIDENTIALITY
This Agreement does not cover information that:
(a) Is or becomes publicly known through no breach of this Agreement;
(b) Was already in the receiving party's rightful possession prior to disclosure;
(c) Is independently developed without reference to the Disclosing Party's information.

4. TERM & SURVIVAL
This Agreement shall remain in effect for [2] years from the date of execution.
